10% for an EGM
By insisting on 33% of members necessary to call an EGM the board has either intentionally subverted efforts to call an EGM or unintentionally demonstrated that they woefully ignorant of the Companies Act 1963, the very Act which specifies the legal nature of the HAI and their role as Directors within it. The Companies Act clearly states in section 132 that the Act overrides anything in the articles of association and so 10% of members are all that is necessary to call an EGM.
